CHM was run by Barnes and Grimaldi at the same time as they controlled mmx.

The whole case is about them mis-using their position in CHM for their and MMX benefit.

If they were acting in CHM best interests they would have made CHM a partner in the deal instead of ripping the cash out through various means.
