Whether there is any dilution from institutions will remain to be seen.
Generally when institutions are invited to purchase shares in a company they are not very happy to pay market value and are issued shares at a discount whether this be before or after consolidation.
Any shares issued at a discount would represent a dilution for existing shareholders. However this may not always be the case because in some situations shares may be issued at a premium, but this is a rarity.
Depending on the terms of the placement sometimes shares are issued to wholesale and retail investors at the same price or sometimes only to sophisticated investors.
It is too early to say what the company has in mind.
