Yes, there is a non-performance provision. First review date is June 2019. 3 years after start date. Using previous 3 years performance. Must beat median manager in a specified survey. Otherwise, can terminate.
Yes, there are specified ways for shareholders to take control and terminate the agreement. By ordinary resolution at an AGM, after CGA is given enough time to prepare and present their case.
Initial term is 5 years. Then its extended 4ever unless terminated under termination provisions.
