A chairperson is elected by the Board from the current incumbents or any incoming new board member and is still a director like all the others but merely holds the seat of chairperson. If a chairman is an executive chairman, for example in the case of YBR where Mark Bouris is the Executive Chairman, he can still be spilled as a board member and would then lose his seat as chairman but I admit I am not 100% sure of the executive function and what happens there.

In AHF case history shows Michael Hackett has not acted as an Executive Chairman even though there is claim to some executive duties on the odd occasion it would not stand the test of a full-time Executive Chairmanship on his earnings alone let alone any declaration of such in the event of a Board spill.
