Retail Entitlement Offer
Eligible Retail Shareholders will be invited to participate in the Retail Entitlement Offer on
the same terms as the Institutional Entitlement Offer under the final prospectus which is
expected to be lodged with the Australian Securities and Investments Commission
(“ASIC”) on 20 August 2009 (the “Prospectus”). The Retail Entitlement Offer will open on
24 August 2009 and close at 5.00 pm (AEST) on 10 September 2009.
Eligible Retail Shareholders can choose to take up their entitlements in whole, in part or
not at all. Eligible Retail Shareholders who take up their entitlement in full can also apply
for New Shares in excess of their entitlement. Eligible Retail Shareholders are not
assured of being allocated any New Shares in excess of their entitlement. The issue of
New Shares in excess of entitlements is dependent on the availability of renounced
shares or shares that would have otherwise been offered to Ineligible Retail
Shareholders if they had been eligible to participate in the Retail Entitlement Offer, and
Amcor retains final discretion to scale back applications as appropriate to ensure equity
for all shareholders.
The Prospectus will be sent to Eligible Retail Shareholders by 27 August 2009 and be
made available on Amcor’s website (www.amcor.com). Any Eligible Retail Shareholder
who wishes to acquire New Shares under the Retail Entitlement Offer will need to
complete, or otherwise apply in accordance with, the personalised entitlement and
acceptance form that will be in or will accompany the Prospectus, and should consider
the Prospectus in deciding whether to subscribe for new Amcor shares.
Retail shareholders who have questions regarding the Retail Entitlement Offer should
read the Prospectus in full and if they require further information, call the Amcor
Entitlement Offer Information Line on 1300 749 836 (local call cost within Australia) or
+61 3 9415 4147 (from outside Australia) at any time from 8:30am to 5:30pm (AEST)
Monday to Friday or go to Amcor’s website.
The Retail Entitlement Offer is fully underwritten.
