Given the contract the new CEO has it is in his interest to drive the SP far lower. He gets 5% of the company and the lower he can drive the SP the more money he will make. It won't matter to him if the current shareholder are wiped out in any CR and he can blame it all on past management.
Only a board that got AXP into this mess could agree to a contract structured like this. I really am surprised the insto haven't told them it is time to leave.
