Conditions Relevant – Appointment of Executive

Chairman The company details below the following conditions relevant to the appointment of Mr Peter George as Executive Chairman as confirmed by a letter of appointment dated 23 February 2006.
1. Term of Employment – Three years terminating on 31 January 2009 subject to termination by either party on six months notice, (extended to 12 months in the event of a change of control), three months notice of termination on illness, or immediate termination in the event of breach of specified obligations.
2. Remuneration – Total remuneration will comprise the following: a) $500,000 salary per annum; b) superannuation contributions (currently 9% of ordinary time earnings).
3. Annual Leave and Sick Leave – 20 days annual leave after each 12 months of employment and 10 days sick leave.
