THE COMPANY CAN SEE WHO IS VOTING AND HOW YOU HAVE VOTED
In the lead-up to the recent AGM, it is understood that soliciting services by ‘Orient Capital’, a subsidiary of Link Services who manages Metallica’s Share Register, was undertaken. This information was provided to the Shareholders Action Group from shareholders who had already voted and had been phoned after they had voted. Apparently this is a service that is provided to companies and can be used by companies to influence voting where there is shareholder agitation or discontent. Metallica is most likely aware of how you voted at the AGM and if you have already voted for this next meeting, will most likely know who has voted and how. Shareholders should prepare themselves to be contacted where you have voted against the merger.
HIDING THE REAL FACTS
Shareholders should be aware that the information supplied to shareholders for consideration when voting is contained in the 160 pages supplied with the Meeting information and is not contained in the separate 3 page ASX announcement headed INDEPENDENT EXPERT CONFIRMS MERGER IS REASONABLE, released by the Managing Director of Metallica
SOCIAL MEDIA / EMAIL / TELEPHONE INFORMATION
Shareholders should be aware that the Shareholder Action Group does not have the email or phone details of shareholders other than those that have been provided directly to it by the shareholder or through a White Pages search. Whereas as previously mentioned, Metallica has these details provided to them by the Share Registry (Link Services).
Many shareholders may already have received social media posts providing convenient links to vote. The company is relying on this convenience and easy of voting in this busy world so that you don’t read and fully consider the implications of the decisions you are making when voting.
The Shareholders Action Group will be providing their next Newsletter in the coming week (allowing for snail mail 2-6 working days for delivery) and shareholders should wait, read and reflect upon all the available information and recommendations that will be provided by both Metallica and the Shareholders Action Group.
