Village Roadshow Ltd is proposing to cancel all A class preference shares on issue for a consideration of $1.25 a share. The consideration to A class preference shareholders would comprise an upfront partial cash payment of 25c, with the balance to be satisfied by the issue of interest bearing unsecured notes which will be repayable on deferred terms. Managing director Mr Graham Burke said: "Since the preference shares were originally issued, the goals and direction of the company's core businesses have changed. "We believe this proposal gives preference shareholders the option to consider and vote on an alternative that may more appropriately address their investment needs." The proposal will require approval from both ordinary and preference shareholders and well as the approval of the court. The proposal will not affect ordinary shares.
