Because it is highly likely that VRLPA will not pay dividends. And if VRL can legally stop the payment to VRLPA they could be practically worthless, since the are not fully paid shares, they are preference, so there is greater risk.
Anyway buy the VRLPA if you like, I like the VRL, the probability is higher that at least they will be around in the future
