The big shareholder groups in TV2U International Limited (ASX:TV2) have power over the company. Institutions will often hold stock in bigger companies, and we expect to see insiders owning a noticeable percentage of the smaller ones. I quite like to see at least a little bit of insider ownership. As Charlie Munger said ‘Show me the incentive and I will show you the outcome.’TV2U International is not a large company by global standards. It has a market capitalization of AU$17m, which means it wouldn’t have the attention of many institutional investors. So they usually pay more attention to companies that are included in major indices.Since institutions own under 5% of TV2U International, many may not have spent much time considering the stock. But it’s clear that some have; and they liked it enough to buy in. So if the company itself can improve over time, we may well see more institutional buyers in the future. We sometimes see a rising share price when a few big institutions want to buy a certain stock at the same time. The history of earnings and revenue, which you can see below, could be helpful in considering if more institutional investors will want the stock. Of course, there are plenty of other factors to consider, too.ASX:TV2 Income Statement, March 19th 2019We note that hedge funds don’t have a meaningful investment in TV2U International. Management ultimately answers to the board. However, it is not uncommon for managers to be executive board members, especially if they are a founder or the CEO.Insider ownership is positive when it signals leadership are thinking like the true owners of the company. However, high insider ownership can also give immense power to a small group within the company. This can be negative in some circumstances. It seems insiders own a significant proportion of TV2U International Limited. Insiders own AU$2.6m worth of shares in the AU$17m company. I would say this shows alignment with shareholders, but it is worth noting that the company is still quite small; some insiders may have founded the business. This level of ownership gives retail investors the power to sway key policy decisions such as board composition, executive compensation, and the dividend payout ratio.Private Company OwnershipWe can see that Private Companies own 28%, of the shares on issue.
