SP, I dare say the discount is factoring in the possibility the takeover doesn't go ahead.
The 90% acceptance condition maybe difficult to achieve but TRY have option of taking control of the board if they get past 50%.
Note that this Friday (7/6)is when they will give notice to status of conditions.
