Maybe they think that the Company looks vulnerable to a near-term future takeover on rising metal prices, their current gold output, and the soon to be developed CCP???
They may be putting up some sort of financial hurdle (or poison pill) in order to prevent a (cheap) takeover of the Company whilst its still at a stage where its assets haven't been fully developed.
