If capital raised was through hybrid paper with very a favorable interest rate it would save dilution and give those sh a chance to participate without feeling they were stealing from themselves. Other inducements could be used to get institutional stock holders into the raising.

Such a liability on the company books could be tailored to meet the financial needs for the company's future. The hybrid could be repaid at maturity or converted into shares.
