I probably could have highlighted a few more risks but I think if I have to add, the biggest risk at this point is opportunity cost. Effectively how long do you wait to see if they sign a deal and pass up on other investment opportunities which may pay off sooner.

What comes with this is that the longer it takes, the less enthusiastic investors become. They may sell out if they can't bare the opportunity cost, thus the SP drifts lower and should a deal come, any equity that is need is done at a lower price which adds a little more dilution than otherwise.

But that is the risk.
