currently there is a sh*tload of dirt cheap shares and the new company doesn't like having that many shares.

At the time when the new company and ozb made the agreement (prior to the ann and sp spike) the vwap was probably about 0.003 so that was the figure used, but here is the important part:

"(iii) The reconstruction ratio may change dependent on the Oz Brewing share price at the issuance date of the Notice of Meeting. "

if we push the price up prior to that meeting then we get a better ratio.
