    Redflex chairman Chris Cooper raised the ire of shareholders, large and small, at last week's AGM. The proxy form for the meeting stated very clearly that "Thge Chairman of the meeting intends to vote undirected proxies in favour of each item of business". But apparently Cooper does not get along with former US Division supremo, Bruce Higgins, so when the resolution came up for Higgins' re-election, Cooper said he would "vote the proxies as he saw fit".

    From the numbers, it appears he did just that, but refused to actually confirm or deny, after the meeting. It's certainly a disgraceful action, casually dishonouring a written committment, whether or not his action was within the law. It's not easy to trust a Board that does this.

    If you left your proxy open (to the chairman) for the RDF AGM, there is a good idea on another forum. Either email or call the Company Secretary, Marilyn Stephens, ([email protected], 03 9674 1712), and just inquire whether YOUR undirected proxy was voted in favour of Resolution 3 (this was the one that all the fuss was about, for the re-election of Bruce Higgins).

    At least three large shareholders are talking about calling an extraordinary general meeting, to put matters right. If that happens, you can bet your bottom dollar that a lot of people will be telling us not to use undirected proxies with Chris Cooper in the Chair.
