Nothing to do with the relative merits of each company and Dr Who2 have a look at the price charts over the last year or so. IRM has been more of a dog than TMX. IRM has some cash but no more than TMX will once they finally finalise the sale of the Coogee Gold Deposit.

Why you would ever accept a bid even on the 2:1 terms you envisaged (TMX:IRM) is beyond me, with respect. Zohar and his gang, can't really see many positives....?
