    AGL offer is by was of a Scheme of Arrangement.
    they want a S of A because, if they get the required number of votes, they then get certainty of 100% ownership.
    AGL do not want to end up with a minority position.
    SO thats why AGL insisted on their offer must get the recommendation of the MOS directors.

    SO with the SofA, its ALL in the voting.
    AGL must get 75% by number of shares of VOTES CAST, and 50% by number of S/H by numbers voting.

    BUT MOS has a a very wide share register.

    SO almost certainly many s/h won't bother voting.

    So whilst the Centauraus holding is 8%, when it comes time to vote, that s/h will probably have the effect of say 12%+.

    So it probably won't take many more s/h voting against the S of A to vote it down!

    Notably that 8% is weighing up against the AGL pre-bid 12.8%.

    I am almost certain that AGL can vote that 12.8%.

    whilst I am sure that everyone else has already figured this out - don't sell until the dust settles.

    (I wish I had taken my own advice !!!!!)
