You're right but this is the difference between small and big cap companies and the inherent risk of investing in the former.
Big caps have little insider ownership and instos behind the scenes making sure they get their pound of flesh. Small caps have more ownership concentration and generally insiders who can sway things in their favour.
With regards to DGR I think this forward dilution is largely priced in and part of the reason for discount to NTA.
