Never been in the position NIDO so I dont have any experience in the matter but off the top of my head I am thinking - the benefits for NCM despite paying more than current market value is that they probably see MV too cheap anyway, the added value of acquiring the business is worth more than whatever they pay for the acquisition.
But hopefully someone who knows more about the theory behind this can chime in.
