The Offer is fully underwritten by the Underwriter. The Company and the Underwriter entered into an underwriting agreement (Underwriting Agreement) pursuant to which the Underwriter agreed to fully underwrite the Offer. The Company will pay the Underwriter a fee of 6% of the amount raised under the Offer.
ICBC Capital Pty Ltd (previously Komodo Capital Pty Ltd), a company which P.Landau is a director and shareholder holds 397,889 Shares. Doull Holdings Pty Ltd, a company controlled by P.Landau holds 10,000 Shares. This figure includes both these holdings.
The first 160,000,000 Shortfall Shares (to the value of $1,600,000) are sub-underwritten by Doull Holdings Pty Ltd (or its nominee), a company related to Peter Landau (who is a Director).
The Sub-Underwriter will not receive a fee in consideration for its subunderwriting commitment from the Company.
