Not necessarily, a lot of disclosure comes down to the certainty of an event. In this case, the company has announced their intent to acquire 100% and their belief that they're entitled to do so, presumably with legal advice to support such a public statement. Someone disagreeing with them may seem material but given its uncertainty is not IMO. If they set a court date I'd expect an announcement. Different scenario again if they're fundraising at which point you need to layout possible risks.
