from memory, its not the number of s/h present, but the number who vote. same for the measure re number of shares.
Thus, if s/h cannot attend the AGM, it is important that they utilise their Proxy.
they must ensure that they DIRECT the Proxy AGAINST the proposal - not to allow the Chairman to direct the Proxy.
