But, if the merger/takeover is voted down, will these Progen directors honour the prior commitment and return cash ?

Going by their past record one cannot be sure of that.
If they do wind down the company and return the cash, wait for them voting a special director bonus for ‘work well done’ - LOL

That kind of ‘Well done’ reward has been seen before in the PGL company.
Awarded for something which never came to pass.
