In relation to intellectual property ownership: (A) each party retains ownership of its background intellectual property (see Section 11 for details of 4DS's patent portfolio); and (B) the parties jointly own all intellectual property jointly created under the JDA, and each party has a license to use such intellectual property on a royalty free basis.
