    I cant see the difference.
    Basically when Panax decide, they issue shares to Deer Vally as part of the 5 million dollar facility, and then recieve consideration at an 18.8 percent discount to the current share price.
    Interestingly though, at the current price of .004, Deer Valley are down on their first 8,500,000 share parcel purchase which they purchased at .0041
