so max they can get is 106m.
so if 3rd party lobs offer of say 60c, Downey exercise Option, pays 56c to current s/h.
but Downey says will pay current s/h 95% of anything over 56c.
so Downey gets 5% of that 4c over the 56c payment.
so 106m shares x 4c = $4.24m
so Downey not doing this to get an offer for their 855,000 shares - because not worth it.
they will be paying $100,000 in legal fees to their lawyers for sure.
so they are hoping to secure shares under their Option venture.
could be an easy $4.24m profit if they get enough takers.

but any 3rd Party offer needs to identify itself quickly -ie within window of 1 mth?
