Waiken: I agree with what you have posted. You have confirmed my take on the current situation concerning a possible SOLG Takeover and how it would affect DGR. Huge amounts of money are involved here!However, I still have grave concerns as to how NM and the other Directors are managing DGR and SOLG. It seems to me that they are looking after themselves before they give fair governance for the rest of the shareholders. I well realize that I have been overly critical of them over the last couple of years. Should SOLG be subject to a takeover in the range of 1 pound per share, you have suggested that DGR shareholders might receive a 0.10 dividend with the rest will A$363 million received from TO or Sale will create a self funded DGR company to be diverted to propping up the other daughter companies remaining. NM will pick up A$20 million directly from his DGR shares from this 10 cent dividend plus whatever else the DGR share value increases by. One would assume DGR share value would increase from current price of 12 cents, certainly if the takeover offer is over the 1 pound mark, because more cash will go to DGR company. You calculate up to 0.67 cps.
I also remind myself that the sale might only be for SOLG's interests in the Alpha Tier 1 resource, as identified in recent report. In which case DGR will retain its current percentage of the other Permit areas still to be discovered and identified. That would be my hope as DGR will retain it percentage ownership in SOLG minus Alpha.
My big concern is how NM and Directors have manipulated themselves into a position where they will make 50 million pounds plus extra , independent from there pre-option grab, should this mythical takeover actually occur. NM has already 5% of SOLG's shares, plus his 20% of DGR's 11% interest in SOLG, and a confirmed 5 million of the newly approved 11 million 60 pence options (paid for by a loan from SOLG). I recently asked Forum Posters to attempt to calculate how many of the other 124 million X 60 pence options will be allocated to Directors and approved employee' under the 'employee incentive scheme'.
So to this end I repeat my query as below:
......Would any of you care to suggest how the 124 million x 60 pence options will be disbursed among the SOLG 'employees'. We know that the lions share of the 11 million odd options delegated to the Directors will go to NM......5 million in fact. There have been a number of posters saying that employees should get an incentive so I am interested in the possible allotment allocations going to employee. Solg management indicates that there are some 400 odd employees, most of them (90+%) being locals. But I truly discount many of the local employees will be given an allotment and fewer will be able to afford to take up their share at 60 pence. So where will the greater bulk be allocated to. Have a guess or if you know the history of this management team, please advise accordingly. One pound per share take over means 40 million pounds plus profit to those who are given part of this incentive scheme.... I look forward to any and all responses concerning this allocation process.
