they need to, no way for CBS to prove our shares are worthless now... no court will approve transfer to CBS for free.
Murdoch's offer makes it clear as day the shares are worth 'something'.... that's all that matters... CBS can't proceed. They can try, but will fail.
They didn't give shareholders 25% equity for nothing, they know that's what pushes CBS deal over.
