The following can indeed be defined as “material”:
* the entry into, variation or termination of a material agreement

This doc sets out “officer’s” guidance and potential breaches to ASX listing rule 3.1
Please note the broad definition of “company officer” (not solely limited to a Director).
I find “Material” is slightly objective, however “Aware” is well defined.
Note para 4.4 - “Aware”
Knowingly/deliberately/wilfully delaying an event is indeed aware that that event will not happen within the report timeframe.
