The Square Group Pty Ltd On 18 December 2007 destra acquired 100% of the issued share capital of The Square Group Pty Ltd (“The Square Group”). The estimated purchase consideration of $1,190,536 comprises a cash payment of $131,250, the issue of 476,580 destra shares at a fair value of $0.26 per share, an estimate of $72,875 to be paid in respectof working capital of The Square Group at the date of acquisition and two further instalment payments which arelinked to the earnings of The Square Group for the years ended 30 June 2008 and 2009 (estimated to be $787,500 and $75,000 respectively). The fair value of shares issued was determined by reference to the ASX market price on acquisition date. The acquired business contributed no revenues or profit to the Group for the reporting period. For the half year financial report the directors do not consider it practical to estimate what consolidated revenues and profit for the six months ended 31 December 2007 would have been if the acquisition had occurred on 1 July 2007 as The Square Group was previously unaudited. The initial accounting for this business combination has been determined on a provisional basis.
