The Directors of My ATM Holdings Limited (“
MYA
” or the “
Company
”) are pleased to announce
that they have entered into a Heads of Agreement (“
HOA
”) with the board of iWebgate
Technology Limited (“
IWG
”) to acquire 100% of all rights and title in all t
he issued capital of IWG.
About IWG
IWG has patented software that increases the securi
ty and functionality for the transfer of
information. Its software is next generation award
winning security* which significantly reduces
the costs, complexity and risk of making network se
rvices available externally.
There is significant potential for the IWG software
to be integrated into ATM networking and
information sharing given current security limitati
ons, particularly with implementation of cloud
opportunities.

Heads of Agreement (“HOA”)
On the 12
th
of December 2013, MYA, the board of IWG and IWG Fo
unders executed a HOA that
subject to satisfaction of a number of conditions p
recedent, will result in MYA acquiring all of the
issued capital of IWG.
Under the terms of the HOA, MYA and IWG are to exec
ute a Share Sale Agreement within 60
days, and agree as follows:

MYA will issue 1,000,000,000 MYA Consideration Shar
es pro-rata to existing IWG
shareholders
