There appears to be a problem with independent directors. Mr Procter is (and has been) named as an independent director. However, he is also independent director in Tanami, which is an Allied Group company, and he has a history in other group companies. The dependence is admitted on page 276 of the application proof (3/7 of next pdf):

Even there is a non-competition document in gold business, it is obvious that the
company is governed by the interests of the Allied Group with CEO and two other directors and one alternate director.

If the same would be allowed to other independent directors, then they may be independent in other interested parties.

It would be also interesting to know, when and how would the new two directors, Poon and Pak, be elected, if they are needed for the Hong Kong listing.

It would hardly make me a Pinocchio, when I provide facts with reference to
legal documents, Finnish news or Dragon´s HK Documents (though last one contains
even lies or big misunderstandings). Why wouldn't  you try once to find a fact with a reference..
