The break fee is only set at $1 million - very very low in these kind of transactions.

By proposing this deal, it looks like TXN may be trying to flush out the real bidders!!

And one more thing, why the shareholders accept that current management should transfer to TALON.

What value add these guys have done?

Depending on market conditions, this deal may not be a goer if markets improve considerably. It surely looks like a slap in the face of shareholders who have supported the capital raisings!!
