You are mistaken on many accounts, notices by directors trades are required withing 5 business days and substantial shareholder notices immediately upon there being a change of more than 1%. Order size or completion has no bearing. Furthermore these notices are not voluntary they are stipulated by the Corps Act. You are right in that they may not be penalised. however most wont take their chances as breaching this section of the Act is a Strict Liability offence and therefore falls under the Criminal Code
.
