At least they are leaving with the business on track. I suspect they are leaving as they have earned a stack in options etc and now they want to flog them off without any disclosure. I doubt there would be much sense in misleading the market about how the business is running, when you have something to lose, and options to exercise etc. Sometimes a disagreement over more incentives etc can come up, or they may feel they have a better job offer elsewhere.

Having an internal replacement ready to go takes away some of the paranoia factor. But there are a lot of innocent reasons for leaving IMO as well. I'm not aware of any other red flags, but if you can think of some, would love to hear.
