The thing I really really liked about your post was "...open to criticism". I love a fun guy that can take a beating...

So the small issue with that is that employees get promoted by their managers whereas Directors get invited by the Board or appointed by a major shareholders (typically with greater than 20% of issued capital) and those Board appointments have to be submitted to shareholders to vote on.

Being a company director is very different from being a senior company manager and where you find a person is both they will be referred to as an executive director (e.g. Peter Skene as the CEO/MD) and they are paid both a salary package as an employee and board (and maybe committee) fees equal to all other Directors.

There is no one size Board composition fits all and there are many variations to suit the business they provide the governance for and for AHF it could possibly handle 2 ED's as well as 4 NED's but for now that would be top heavy and there would need to be some restructure of the company before that would work. What the Board is missing is a number of Board committees and that conversation hasn't even been touched upon I don't think and that is where the likes of Chris Melville and Graeme Willis would come into their own for dealing with the Board.

The current Board needs external assistance that goes outside the competencies of current staff.
