Good luck with the legal action. Seeing a story like this would hopefully make all the other directors who are total tossers with shareholder funds and end up misleading the market through no fault of their own take note.

Proving intent over incompetence will be the hard part. I can see their defence already as they hadn't had sufficient training by the company to do their jobs - which I think is where the action item of "governance training for directors" is coming from.

Famous defences by directors are:

"We didn't know"
"Nobody told us"

and now we have "Nobody trained us".
