Resolution 6 of the general meeting concerns approval for shares to be issued to cover the conversion of the $2.3m(sorry, not 2.5m) loan. If they were intending to use the debt facility this wouldn't be there.
On the other matter, $1.2m seems to be very disturbing for merely 'fees' for a loan, thats a sizable loan drawdown in itself...what is going on?
