It's mixed. There are worse director incentives out there, like performance shares, where they get the shares for free if they meet certain objectives - objectives which seem to be set by themselves, that are not always in the shareholders interest eg. objectives that may encourage short term high-risk behavior to get larger bonuses. Eg. look at the banks for the past 10 years, increasing their mortgage risk all the time, making large profits in that time period, and taking big bonuses along the way.
