My understanding of the structure is as you have laid it out. This may be a bargain in the future - but one will need to be patient and see if the dividends (assuming merger proceeds) more than cover the debt. Assuming a long timeframe - if the dividends pay down the debt, then if the shareholders want the cash, they will need to declare dividends .... but that is a long time horizon and the debt interest and fees are subject to change when rolling over.
