I am no expert in this matter, but companies have the ability to issue shares up to a limit without shareholder approval and this is what AMA has done.
According to the statement on recapitalisation issued 1 July, there are certain aspects which have to be approved by shareholders which will undoubtedly include issuing vendors shares in lieu of the debt they were owed.
The EGM announcement should explain the details.
