Correct me if I am wrong but in companies like PPN, CLS etc even if they have two strikes and there is a board spill, the majority shareholders who are the CEO's can just use their shares to then vote their directors back onto the board. So in effect you can't spill the board.

The only potential issue I can see is maybe in these instances the directors may not be able get PI as a result?

I see this as pretty much useless resolution as nothing will change unless ASIC steps in, and based on their track record we know where the missing village idiots now all work!
