You will benefit. You retain your present shares in NuSep (incremented by the 10%) and, as well, gain a direct shareholding in PrIME Bio (via the 50%). Under the previous arrangement you merely kept your NuSep shares which contained the value of ~50% of the PrIME Bio. (It was the intention all along to sell the 90% down to ~50% to fund the facility fitout.)
NuSep benefits long term through the revenue from equipment and consumables it sells to PrIME. NSP has a monopoly. You benefit further from the revenue generated from plasma sales by PrIME. In the long term you should receive dividends (YES!) from both companies.
"Post the spin out, NuSep will no longer incur any [additional] expenditure associated with PrIME Biologics" because the IPO funding should make that company self sufficient.
Please try to understand the situation before you go on another spitting spree "on these guys".
