I hope now the majority of shareholders agree that the capital raising and new con. notes were not just about raising money but were to put control of the company into the hands of a few people. With the note holders being employees, suppliers and the major shareholder and having control they could have requested huge salary increases and share allocations as the company became successful and the current existing shareholders being a minority could not stop this.

They wouldn't need to go private as they had control and with a successful company it would have been easy to direct the profits to themselves.
