Just because a company announces a buyback there is no obligation on the company to buy the number of shares included in the announcement. In many cases a lot less than what is indicated are bought when indicating the 10% over 12 months rule.
Sometimes 10/12 announcements are made by companies when the Board believes its share price is far too low and is simply a signal of just that. they may buy a few but stop when the SP is over a certain 'unannounced' internal threshold.
