textbook thinking cannot be applied in practice and almost certainly does not work in all corporations. Take Berkshire Hathaway, people have been beating the drum on the lack of corporate governance principles; tight board, no board turnover; old age board; disclosure issues.. blah blah blah....
I wouldnt bother with getting an explanation as at most you will probably get some "wiki-MBA" type response...
