not sure if I follow your logic
as i understand it SEA will acquire all of the shares in TXN from existing TXN holders so that TXN would become a wholly ownes subsidiary of SEA
it is not an asset purchase
therefore SEA acquires the company TXN which inside that corporate structure is all of its assets AND all of its debts
happy to stand corrected but I think I have it right?
