I agree there are some ambiguities, however without researching the rules, I believe there are some over riding clauses which make exceptions with how the shares were acquired.
It has been a long time since I had a look at this but I suspect shares issued to directors are exempt from the TO provisions.
I will look into the rules again tomorrow.
